Terms of Service

Please read these terms carefully before using Inference Agents.

These Terms of Service ("Terms") govern your use of the Inference Agents WhatsApp AI booking service ("Service") provided by Inference Agents ("we", "us", "our"), a UK business. By subscribing to or using the Service, you ("Restaurant", "you", "Customer") agree to these Terms in full.

1. The Service

Inference Agents provides an AI-powered WhatsApp conversational assistant that integrates with your restaurant's reservation management system. The Service handles inbound guest messages, answers frequently asked questions, checks availability, creates bookings, and escalates complex enquiries to your team.

The specific features available to you depend on your subscription plan as set out on our Pricing page. Integration with third-party booking systems (such as ResDiary or Access Collins) is included in Growth and higher plans, subject to availability of those integrations at the time of subscription.

2. Subscription and Payment

2.1 Plans and fees

The Service is provided on a monthly subscription basis. Current pricing is published at inference-agents.com/pricing.html. Fees are charged in pounds sterling (GBP) inclusive of VAT where applicable.

2.2 Billing

Subscriptions are billed monthly in advance. Payment is due on the same date each calendar month from the date of your first payment. We accept payment by credit or debit card via our payment processor. If a payment fails, we will notify you and may suspend the Service after 7 days of non-payment.

2.3 Price changes

We will give you at least 30 days' written notice of any price changes. If you do not wish to continue at the new price, you may cancel before the new price takes effect.

3. Confirmed Bookings — Definition and Billing

Our subscription is a flat monthly fee. We do not charge per booking, per cover, or per conversation. The following definition is provided for the avoidance of doubt in any billing dispute.

Definition — "Confirmed Booking": A reservation request is a Confirmed Booking when all of the following conditions have been met:

(a) the guest's request has been validated against the Restaurant's real-time availability via API connection to the Reservation System;

(b) the reservation has been accepted and recorded by the Reservation System, generating a unique reservation or confirmation ID; and

(c) a confirmation message containing that reservation ID has been successfully delivered to the guest via WhatsApp.

A booking is considered Confirmed at the moment condition (c) is met, regardless of whether the guest subsequently attends (no-show) or cancels, except where the guest cancels within 5 minutes of the original confirmation message in the same session.

3.1 No-shows

No-shows do not affect your subscription fee. Because we charge a flat monthly rate and not per booking, guest non-attendance has no bearing on what you owe us. If you wish to reduce your own no-show risk, we recommend implementing guest deposits via a payment processor such as Stripe — this can be configured as part of an Enterprise plan.

3.2 Cancellations

If a guest cancels a booking, the AI will action the cancellation in your Reservation System in accordance with your configured cancellation policy. Cancellations managed by the AI do not affect your subscription fee.

3.3 API as the record of truth

In any dispute regarding whether a booking was created, the authoritative record is the response received from your Reservation System's API at the time of the transaction. Inference Agents maintains logs of all API interactions which are available to you on request for up to 90 days.

4. Cancellation and Termination

4.1 Cancellation by you

You may cancel your subscription at any time by emailing [email protected]. Cancellation takes effect at the end of your current billing period. We do not offer refunds for unused days within a billing period, except where required by law.

4.2 Termination by us

We may terminate your subscription immediately if you breach these Terms and the breach is not remedied within 14 days of written notice, or immediately if the breach is not capable of remedy. We may also terminate the Service on 30 days' notice for any reason.

4.3 Effect of termination

On termination, we will disconnect the WhatsApp integration and cease processing guest messages on your behalf. Any guest data held by us will be handled in accordance with our Privacy Policy.

5. Your Obligations

You agree to:

  • Provide accurate information about your restaurant, opening hours, booking policies, and menu when setting up the Service, and to keep that information up to date.
  • Comply with WhatsApp's Business Messaging Policy and Meta's Platform Terms of Service at all times.
  • Not use the Service to send unsolicited marketing messages, spam, or content that violates applicable law.
  • Maintain a valid WhatsApp Business Account and not knowingly take action that would lead to that account being suspended or banned.
  • Notify us promptly if you change your booking system or any integration credentials that affect the Service.
  • Not share your account credentials with third parties or use the Service for more than the number of venues covered by your plan.

6. Our Obligations

We will:

  • Use reasonable skill and care to provide the Service.
  • Aim for 99% uptime, excluding scheduled maintenance (of which we will give at least 24 hours' notice where possible) and circumstances beyond our reasonable control.
  • Respond to support requests within the timescales set out in your plan (48 hours for Starter; same business day for Growth, OpenTable, and Enterprise).
  • Not use your guest data or booking data for any purpose other than providing the Service.
  • Notify you within 72 hours of becoming aware of any personal data breach that may affect your guests.

7. Third-Party Booking System Integrations

The Service connects to third-party reservation platforms (such as ResDiary and Access Collins) via their APIs. We do not own, control, or operate those platforms. If a third-party platform changes, restricts, or removes API access, we will notify you as soon as reasonably practicable and work to restore functionality or offer an alternative. We are not liable for any loss caused by a third-party platform's decision to restrict or terminate API access.

Your use of third-party booking systems is governed by your separate agreement with those providers. Inference Agents is not a party to those agreements.

8. WhatsApp and Meta Platform

The Service depends on the WhatsApp Business Platform operated by Meta Platforms, Inc. Use of WhatsApp is subject to Meta's Terms of Service and WhatsApp Business Policy. We will keep the Service compliant with Meta's policies, including operating as a task-specific AI assistant (booking concierge) as required by Meta's platform guidelines. We are not responsible for any actions taken by Meta that affect the availability of WhatsApp or your WhatsApp Business Account.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you in any 12-month period shall not exceed the total subscription fees paid by you in that period.
  • We are not liable for any indirect, consequential, special, or punitive losses, including loss of revenue, loss of bookings, or loss of profit, even if we have been advised of the possibility of such losses.
  • We are not liable for losses arising from third-party platform outages, API restrictions, or actions by Meta or any booking system provider.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

10. Data and Privacy

We process personal data in accordance with our Privacy Policy and UK GDPR. Where we process guest personal data on your behalf as a data processor, we act under your instructions as data controller. We will enter into a Data Processing Agreement with you on request.

11. Intellectual Property

All intellectual property rights in the Service, including the AI models, software, and interface, remain owned by Inference Agents or our licensors. Your subscription grants you a non-exclusive, non-transferable licence to use the Service during the subscription term. You retain all rights to your own business data (menus, policies, guest data).

12. Governing Law and Disputes

These Terms are governed by English law. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We will always try to resolve disputes informally first — email us at [email protected] and we'll respond within 5 business days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before any material changes take effect. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
